1. Introduction

These Terms and Conditions ("Terms") govern your use of services provided by TriggerX LLC ("TriggerX", "we", "us", or "our"), a company registered in the state of Wyoming with registered address at 30 N Gould St, Ste R, Sheridan, WY 82801.

By engaging our services or accessing triggerx.ai, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use our services. You represent that you are at least 18 years of age. TriggerX does not permit those under 18 to use or access our services.

1. Introduction

These Terms and Conditions ("Terms") govern your use of services provided by TriggerX LLC ("TriggerX", "we", "us", or "our"), a company registered in the state of Wyoming with registered address at 30 N Gould St, Ste R, Sheridan, WY 82801.

By engaging our services or accessing triggerx.ai, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use our services. You represent that you are at least 18 years of age. TriggerX does not permit those under 18 to use or access our services.

2. Services

TriggerX provides done-for-you sales systems and revenue automation services, including but not limited to:

  • Cold email infrastructure setup — domains, mailboxes, warmup, and deliverability configuration

  • Outbound prospecting campaigns via email and LinkedIn

  • Speed-to-lead and missed call text-back automations

  • Multi-touch lead follow-up sequences across email, SMS, voicemail, and LinkedIn

  • CRM configuration, pipeline setup, and performance dashboards

  • AI sales agent installation and chatbot configuration

  • Review generation and customer retention automation

  • Lead list building, ICP research, and TAM mapping

The specific scope of services will be defined in your individual service agreement or onboarding documentation.

3. Subscription and Payment

3.1 Minimum Commitment By engaging TriggerX services, you agree to a minimum commitment of ninety (90) days ("Minimum Term"). This is the minimum period required to build, launch, and generate measurable results from the systems we install.

3.2 Fees You agree to pay the monthly fee as specified in your service agreement. Fees are due at the start of each billing cycle. Payments are processed via Stripe or such other payment processor as TriggerX designates.

3.3 Refund Policy If you cancel within three (3) business days of signing up and no work has been performed, you will receive a full refund. After this period, all payments are non-refundable. Cancellation of services does not entitle you to a refund for any fees already paid.

3.4 Late Payment TriggerX reserves the right to suspend services if payment is not received within seven (7) days of the due date. Services will resume upon receipt of outstanding payment.

4. Client Responsibilities

You are responsible for providing all information, approvals, and access required for TriggerX to perform its services. This includes but is not limited to:

  • Accurate information about your business, target market, and ideal customer profile

  • Timely responses to onboarding questionnaires and requests for feedback

  • Access to relevant tools, CRM systems, and platforms as required

  • Compliance with all applicable laws in your use of the systems we build

TriggerX is not responsible for delays or underperformance caused by failure to provide required information or approvals in a timely manner.

5. Ownership of Deliverables

All sequences, workflows, automations, lead lists, playbooks, and campaign assets built by TriggerX for your business are owned by you upon delivery. TriggerX retains no claim over the work product created specifically for your engagement. TriggerX's proprietary methodologies, templates, internal processes, and systems documentation remain the sole property of TriggerX.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes but is not limited to business strategies, client data, pricing, campaign performance, and the content of the service agreement. This obligation survives termination of the engagement.

7. Data and Records

You are solely responsible for managing, storing, and backing up all data and records related to the leads, contacts, and campaigns generated through TriggerX's services. TriggerX does not maintain long-term storage of client data and is not liable for any loss of data following the conclusion of an engagement.

8. No Guarantee of Results

TriggerX builds and installs sales systems based on proven methodologies. However, results depend on numerous factors outside our control including your market, offer, pricing, competition, and sales process. We do not guarantee specific outcomes including but not limited to a defined number of leads, meetings, or revenue generated. We commit to building the system correctly, optimizing based on data, and working with you until the results are where they need to be.

9. No Warranty

Our services are provided "as is" without warranty of any kind, either express or implied. TriggerX does not warrant that our services will be uninterrupted, error-free, or that the results obtained will meet your specific expectations.

10. Limitation of Liability

To the fullest extent permitted by law, TriggerX will not be liable for any indirect, special, consequential, incidental, or punitive damages arising from your use of our services, including but not limited to lost revenue, lost profits, or loss of data. TriggerX's total liability to you for any claim arising from these Terms or our services shall not exceed the total fees paid by you in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify and hold TriggerX, its officers, employees, and contractors harmless from any claims, losses, damages, liabilities, or expenses arising from your breach of these Terms, your use of the systems we build, or your violation of any applicable law or third-party right.

12. Termination

After the Minimum Term, either party may terminate the engagement by providing written notice at least fifteen (15) days before the end of the current billing period. TriggerX reserves the right to terminate services immediately for non-payment, breach of these Terms, or conduct that violates our Anti-Spam Policy or SMS Terms of Service set out below.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming. Any dispute arising from these Terms or your use of TriggerX's services shall first be subject to good-faith negotiation for a period of thirty (30) days. If unresolved, disputes shall be finally resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Wyoming.

14. Changes to These Terms

TriggerX reserves the right to modify these Terms at any time. We will provide at least thirty (30) days' notice of material changes. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.

ANTI-SPAM POLICY

TriggerX LLC is committed to ethical and legally compliant outreach practices. This Anti-Spam Policy applies to all outbound campaigns, email sequences, and communication systems built and operated by TriggerX on behalf of clients.

Our Commitment

TriggerX does not send unsolicited bulk email or engage in any practice that violates the CAN-SPAM Act (United States), CASL (Canada), GDPR (European Union), or any other applicable anti-spam legislation. All outbound campaigns built by TriggerX are designed to comply with applicable law in the jurisdictions where they are deployed.

Outbound Email Practices

All cold email campaigns built by TriggerX include the following as standard:

  • A clear identification of the sender and the business on whose behalf the email is sent

  • A valid physical mailing address in the email footer

  • A functioning and clearly visible opt-out or unsubscribe mechanism in every email

  • Immediate processing of unsubscribe requests — recipients who opt out are removed from active sequences within ten (10) business days and are not contacted again

  • Honest and non-deceptive subject lines — we do not use misleading subject lines designed to trick recipients into opening emails

  • Targeting of business-to-business contacts only — we do not build or run consumer spam campaigns

Client Responsibilities

Clients engaging TriggerX for outbound services agree to:

  • Use the systems and contact lists we build only for lawful business purposes

  • Not add contacts to sequences who have previously opted out or unsubscribed

  • Not instruct TriggerX to send deceptive, misleading, or harassing communications

  • Comply with all applicable anti-spam laws in the jurisdictions where their business operates

TriggerX reserves the right to immediately suspend or terminate services for any client found to be using our systems in violation of this policy or applicable law.

Reporting Violations

If you believe you have received unsolicited communication as a result of a TriggerX-built system, please contact us at hello@triggerx.ai. We take all complaints seriously and will investigate promptly.

SMS TERMS OF SERVICE

This SMS Terms of Service governs the use of SMS and text message communications sent through systems built and operated by TriggerX LLC on behalf of clients.

1. Consent to Receive SMS

TriggerX builds SMS automation systems on behalf of business clients. By submitting your phone number through a form, requesting a callback, or otherwise providing your contact information to a TriggerX client, you consent to receive automated SMS messages from that business. These messages may include appointment confirmations, follow-up messages, promotional offers, and service-related communications.

Consent to receive SMS is not a condition of purchasing any goods or services.

2. Message Frequency

Message frequency varies depending on the automation system in place. You may receive up to five (5) messages per month from a TriggerX-powered SMS system unless you have actively engaged with a conversation sequence, in which case additional messages may be sent in response to your replies.

3. Message and Data Rates

Standard message and data rates may apply depending on your mobile carrier and plan. TriggerX is not responsible for any charges incurred from your carrier as a result of receiving SMS messages.

4. Opting Out

You may opt out of receiving SMS messages at any time by replying STOP to any message. Upon receipt of a STOP message, you will be immediately removed from the active SMS sequence and will receive a single confirmation message acknowledging your opt-out. No further messages will be sent.

To re-subscribe, reply START to the number from which you previously received messages.

5. Help

6. Supported Carriers

SMS services operate on all major US carriers including but not limited to AT&T, Verizon, T-Mobile, and Sprint. Carrier support may vary. TriggerX is not liable for delayed or undelivered messages due to carrier issues.

7. A2P 10DLC Compliance

All SMS campaigns built by TriggerX are registered and compliant with A2P 10DLC (Application-to-Person 10-Digit Long Code) requirements as mandated by US mobile carriers. We do not operate unregistered or non-compliant SMS campaigns.

8. Prohibited Use

Clients may not use TriggerX's SMS systems to send:

  • Unsolicited bulk messages to individuals who have not provided consent

  • Fraudulent, deceptive, or misleading content

  • Harassing, threatening, or abusive messages

  • Content that violates any applicable law or regulation

Violation of this policy will result in immediate termination of SMS services.
